Welcome to Locli! These Terms of Service (“Terms”) govern your use of the Locli platform, website, and services (collectively, the “Service”) operated by Ethan Jones (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Service.

1. Platform Description

Locli is a free online marketplace that connects local bands and musicians with venues, event organizers, and fans in Knoxville, Tennessee and surrounding areas. The platform allows users to create profiles, discover local music, post and apply to gig opportunities, and facilitate introductions between artists and bookers.

Locli is a facilitator, not a party to any transaction. We provide a platform for users to discover and connect with each other. We do not guarantee bookings, manage contracts between parties, process payments, or serve as an agent or representative of any user.

2. Eligibility

To use Locli, you must:

Be at least 18 years of age; or
Be at least 13 years of age with verifiable parental or guardian consent.

By creating an account, you represent that you meet these eligibility requirements. If we discover that a user does not meet these requirements, we may terminate their account without notice.

3. Account Registration & Responsibilities

When you create an account, you agree to:

Provide accurate, current, and complete information during registration;
Maintain the security of your password and account credentials;
Promptly update your account information if it changes;
Accept responsibility for all activity that occurs under your account;
Notify us immediately at locli.admin@gmail.com if you suspect unauthorized access to your account.

You may not share your account credentials with others, create multiple accounts for deceptive purposes, or use another person’s account without their permission.

4. User Content

“User Content” includes any text, images, audio, video, links, band profiles, gig listings, reviews, messages, or other materials you post, upload, or share on the Service.

4.1 Ownership

You retain all ownership rights to your User Content. Locli does not claim ownership of any content you create or upload.

4.2 License Grant

By posting User Content on the Service, you grant Locli a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating, promoting, and improving the Service. This license ends when you delete your content or your account, except where your content has been shared with other users who have not deleted it.

4.3 Content Representations

You represent and warrant that:

You own or have the necessary rights to post your User Content;
Your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party;
Your User Content is accurate and not misleading.

5. Acceptable Use

You agree not to use the Service to:

Post false, misleading, or fraudulent information;
Harass, threaten, intimidate, or bully other users;
Send unsolicited spam, promotional messages, or solicitations;
Post content that is illegal, obscene, defamatory, or promotes violence;
Impersonate another person or entity;
Upload malware, viruses, or other harmful code;
Scrape, crawl, or use automated tools to access the Service without permission;
Interfere with or disrupt the Service or its infrastructure;
Use the Service for any illegal purpose or in violation of applicable laws;
Circumvent any security measures or access restrictions.

6. Booking & Connection Disclaimer

Locli facilitates introductions and connections between users. We are not a booking agent, talent manager, venue operator, or event planner.

Specifically:

We do not guarantee that any connection made through the platform will result in a booking, performance, or any other arrangement;
We are not responsible for the quality of services provided by any user (musicians, venues, or organizers);
We do not handle, process, or mediate payment disputes between users;
We are not a party to any contracts, agreements, or arrangements made between users, whether or not those agreements originated through connections on the platform;
Users are solely responsible for conducting their own due diligence before entering into any arrangement with another user.

Any agreements between users (including performance contracts, payment terms, cancellation policies, etc.) are strictly between those users. Locli bears no responsibility for enforcing or mediating such agreements.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied;
Locli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service;
Locli shall not be liable for any interactions, disputes, communications, agreements, or dealings between users;
Locli shall not be liable for any loss of data, revenue, profits, or opportunities resulting from use of the Service;
Our total aggregate liability for any claims arising from or related to the Service shall not exceed fifty dollars ($50.00 USD).

8. Content Moderation

We reserve the right, but are not obligated, to monitor, review, or remove any User Content at our sole discretion. We may remove content that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

We are not responsible for content posted by users, and the presence of content on the Service does not imply our endorsement or verification of that content.

9. Account Suspension & Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

Violation of these Terms;
Conduct harmful to other users or the platform;
Fraudulent or illegal activity;
Extended periods of inactivity;
Requests by law enforcement or government agencies.

You may also delete your account at any time by contacting us at locli.admin@gmail.com. Upon termination, your right to use the Service ceases immediately.

10. Intellectual Property

The Service, including its design, logos, trademarks, code, and original content (excluding User Content), is owned by Locli and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

11. Third-Party Services

The Service may contain links to or integrations with third-party services (including but not limited to Spotify, Google, and others). We are not responsible for the content, policies, or practices of third-party services. Your use of such services is governed by their respective terms and privacy policies.

12. Indemnification

You agree to indemnify and hold harmless Locli, its operator, and any affiliated parties from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising from or related to:

Your use of the Service;
Your User Content;
Your violation of these Terms;
Your interactions with other users.

13. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Knox County, Tennessee.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of this page and may notify users via email or an in-app notice.

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue use of the Service and delete your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
